    "EventBliss" is a brand and product of MYFAMBLISS GROUP LTD, a company incorporated under the laws of the Republic of Cyprus, registered in the Cyprus Companies Register, with registered office at Gladstonos 12-14, 8046 Paphos, Cyprus. This Agency Agreement governs the legal relationship between MYFAMBLISS GROUP LTD as operator of the EventBliss platform and the agencies offering event services through EventBliss. The binding version of this agreement is the German version; this English translation is provided for convenience only.

    Parties: MYFAMBLISS GROUP LTD, Gladstonos 12-14, 8046 Paphos, Cyprus, registered in the Cyprus Companies Register (the "Company"; the platform operated under the brand "EventBliss" is hereinafter referred to as "EventBliss" or the "Platform"), and the registered event services agency (the "Agency"). A "Customer" is any natural or legal person booking through the Platform.

    § 1

    Preamble and Scope

    EventBliss operates an online marketplace matching customers with event service providers. This agreement applies to all legal relationships between EventBliss and the Agency using the Platform. Definitions for Platform, Agency, Customer, Booking, and Referred Customer apply as set out in the German version.

    § 2

    Platform Services

    EventBliss provides public listings, a digital booking workflow, payment processing via Stripe for online bookings, support services, and marketing. EventBliss acts solely as an intermediary and is not a party to the service contract between Agency and Customer.

    § 3

    Agency Obligations

    The Agency must provide services with proper quality, comply with all legal and tax obligations, keep profile data and calendar accurate, respond to inquiries within 24 hours on business days, and display legally binding prices including VAT.

    § 4

    Platform Fee

    EventBliss charges a 10% platform fee on all bookings, regardless of payment method. For online bookings, the fee is deducted automatically before payout. For on-site payments, the Agency must remit the fee within 14 days after service delivery. Each completed on-site booking must be marked as delivered within 48 hours.

    § 5

    Payment Modes and Equal Treatment

    Both online (Stripe) and on-site payments are recognized as Platform bookings. The choice of payment method does not exempt the Agency from the platform fee. Encouraging customers to pay outside the Platform is prohibited and constitutes a breach of Section 6.

    § 6

    EXCLUSIVITY AND ANTI-CIRCUMVENTION

    Breach of this Section 6 entitles EventBliss to immediate termination, contractual penalties, and suspension of the Agency profile.

    § 6.1Exclusivity Period

    Any customer referred via the Platform is exclusive to EventBliss for 18 months from first contact, including follow-up bookings and related derivative business.

    § 6.2Prohibition of Circumvention

    After cancellation, the Agency may not offer a comparable service off-platform. The Agency may not encourage cash payment on site when the listing is set to online payment, share customer contacts with third parties, run parallel bookings via own channels, or induce customers to cancel platform bookings in favor of off-platform arrangements.

    § 6.3Purpose Limitation of Customer Data

    Customer contact data received from the Platform is subject to strict purpose limitation per GDPR Art. 5(1)(b). Use is limited to fulfilling the specific booking; building own customer lists, marketing, newsletters, and upselling beyond the booking are prohibited.

    § 6.4Contractual Penalty

    For each proven violation of Sections 6.1 to 6.3, the Agency owes a contractual penalty equal to 2× the total booking value (minimum EUR 500) plus a lump sum of EUR 10,000 per incident, payable without further notice. Additional damages remain reserved.

    § 6.5Audit Right on Reasonable Suspicion

    Upon reasonable suspicion, EventBliss may request communications logs, payment records, and booking calendar extracts within 14 days. Refusal or late delivery raises a rebuttable presumption of breach.

    Cancellation Rate Rules

    Excessive agency-initiated cancellations harm the Platform. EventBliss continuously monitors cancellation rates.

    § 7.1Reference Window

    The rate is calculated on a rolling 30-day window, counting only agency-initiated cancellations relative to confirmed bookings.

    § 7.2Early Warning at 15%

    Above 15%, the Agency is warned automatically and must attend a mandatory partner management call within 14 days.

    § 7.3Suspension and Delisting at 20%

    Above 20%, EventBliss may — after 7 days' written notice — pause listings, pause the entire profile, or remove the Agency from the Platform. Measures lift once the rate falls below 15%.

    § 7.4Exceptions with Evidence

    Force majeure, customer misinformation, customer payment default, and legitimate safety or hygiene concerns are excluded from the calculation if timely documented and supported by evidence.

    § 8

    Listing and Quality Criteria

    Response time under 24 hours on business days, minimum average rating of 4.0/5.0 over the last 20 bookings, complete profiles, legally binding prices per PAngV, and valid usage rights for all imagery.

    § 9

    Liability and Warranty

    The Agency is solely liable for service delivery and incidents at the venue. EventBliss is liable only for platform availability within market standards. The Agency indemnifies EventBliss against third-party claims arising from defective service delivery and must maintain business liability insurance of at least EUR 1,000,000 (personal injury) and EUR 500,000 (property damage).

    § 10

    Data Protection and Processing

    Each party acts as an independent controller for its own processing purposes. Where EventBliss processes data on behalf of the Agency, the separate Data Processing Agreement under GDPR Art. 28 applies. Data breaches involving platform customers must be reported to EventBliss within 24 hours of discovery.

    § 11

    Term and Termination

    The agreement runs indefinitely. Either party may terminate for convenience with 30 days' written notice to month's end. EventBliss may terminate immediately for breaches of Section 6, repeated cancellation rate violations, substantial payment default, or insolvency. The 18-month exclusivity in Section 6.1 survives termination.

    § 12

    Final Provisions

    Governing law: This agreement is governed exclusively by the laws of the Republic of Cyprus, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and any conflict-of-laws rules that would lead to the application of another jurisdiction. Mandatory consumer-protection rules of the customer's habitual residence remain unaffected between Agency and Customer. Exclusive jurisdiction: For all disputes arising out of or in connection with this agreement, the competent courts at the seat of MYFAMBLISS GROUP LTD in the Republic of Cyprus have exclusive jurisdiction, to the extent permitted by law. EventBliss reserves the right to sue the Agency at its general place of business. Alternative dispute resolution: Before initiating legal proceedings, the parties shall attempt an amicable resolution. Upon request, a structured mediation procedure shall be conducted under the rules of a recognised Cyprus-based institution. Severability, form requirements, amendment rights, and assignment restrictions apply as set out in the German version. The binding version is the German original.

    Report Suspected Circumvention

    Customers, agencies, and third parties may report suspected violations confidentially. Whistleblower identity is protected on request.

    Acceptance & signature

    By activating the agency profile on EventBliss, the Agency legally confirms that it has read, understood, and accepted this agreement in its current form. Acceptance is documented electronically and replaces a handwritten signature under the EU electronic signature regulations (eIDAS).
